JNA PRESS Photographer & Contributor Agreement
Editorial Content Distribution Agreement
This Photographer & Contributor Agreement ("Agreement") is entered into between:
JNA Press – Visual News Agency
(hereinafter referred to as “JNA Press” or “the Agency”)
and
A Contributor to JNA Press (hereinafter referred to as “Photographer” or “Contributor”)
1. PURPOSE OF THE AGREEMENT
This Agreement establishes a professional collaboration between JNA Press and the Photographer for the editorial distribution, licensing, marketing, and promotion of photographic and visual journalistic content submitted by the Photographer.
JNA Press operates as an independent visual news agency specializing in editorial photography, video journalism, breaking news coverage, documentary storytelling, and global content distribution.
2. COPYRIGHT OWNERSHIP
The Photographer retains full copyright ownership of all submitted content at all times. Nothing in this Agreement shall transfer copyright ownership from the Photographer to JNA Press.
The Photographer grants JNA Press a non-exclusive worldwide license to market, distribute, sublicense, publish, display, promote, and license submitted content for editorial purposes during the term of this Agreement.
3. CONTENT SUBMISSION
The Photographer may upload or submit:
- Editorial photography
- Breaking news coverage
- Documentary images
- Feature stories
- Photo essays
- Editorial video content
All submitted content must include accurate captions, dates, locations, and editorial context.
4. NON-EXCLUSIVITY
This Agreement is non-exclusive. The Photographer remains free to work with other agencies, publications, clients, or platforms.
5. REVENUE SHARE
Revenue generated from licensed content shall be divided as follows:
60% — Photographer
40% — JNA Press
6. TRANSPARENCY & SALES REPORTING
The Photographer shall have access to sales history, revenue tracking, download records, licensing activity, and payment records.
7. EDITORIAL STANDARDS
Submitted content must preserve editorial integrity and comply with professional journalistic ethics.
8. LEGAL RESPONSIBILITY
The Photographer confirms they are the creator or authorized rights holder of submitted content and possess full authority to license the material.
9. DISTRIBUTION RIGHTS
JNA Press may distribute submitted content through newspapers, magazines, TV broadcasters, digital publishers, partner agencies, and international media outlets.
10. SOCIAL MEDIA & PERSONAL USE
The Photographer remains free to publish submitted content on personal social media and portfolios unless restricted by specific client agreements.
11. DIRECT ASSIGNMENTS
JNA Press may offer editorial assignments, commissioned coverage, special projects, and accreditation opportunities.
12. PRESS IDENTIFICATION
Approved contributors may receive JNA Press identification, assignment letters, and agency documentation.
13. AI & MACHINE LEARNING PROTECTION
JNA Press shall not use contributor content for AI training or machine learning systems without explicit written consent.
14. CLIENT PROTECTION & NON-CIRCUMVENTION
The Photographer agrees not to intentionally bypass or directly solicit clients introduced through JNA Press for the same submitted content.
15. CONFIDENTIALITY
The Photographer agrees to maintain confidentiality regarding client information, pricing structures, business strategies, and internal operations.
16. PLATFORM & ACCOUNT SECURITY
The Photographer is responsible for maintaining contributor account security and agrees not to misuse platform systems.
17. TERM & TERMINATION
This Agreement shall remain valid for one (1) year and automatically renew unless terminated with thirty (30) days written notice.
18. ARCHIVE CONTENT
Previously licensed content may remain archived for record-keeping and historical licensing purposes after termination.
19. INDEPENDENT RELATIONSHIP
This Agreement does not constitute employment, partnership, or joint venture.
20. GOVERNING LAW
Disputes shall first be addressed through good-faith negotiation and governed under the laws of the jurisdiction where JNA Press is registered.
21. ENTIRE AGREEMENT
This document represents the complete understanding between the parties and supersedes previous discussions.
